Terms of Service

1. Services

We provide consulting and software services as described on the Site. The specific scope, deliverables, timeline, and price for any engagement are defined in a written scope (email is acceptable) between us and the client before any paid work begins. Marketing copy on the Site is informational and does not by itself constitute an offer or a contract.

2. Pricing and payments

All prices on the Site are stated in US Dollars (USD) and exclude any applicable taxes. Payment is collected via Stripe invoice after work is delivered, unless a different schedule is agreed in writing. Invoices not paid within 14 days may accrue a late fee equal to 1.5% per month or the maximum allowed by law, whichever is lower.

3. Refunds and cancellations

Refund and cancellation terms are set out in our Refund & Cancellation Policy. The terms in that policy are incorporated into these Terms by reference.

4. Confidentiality

We treat non-public client information shared during an engagement as confidential and do not disclose it to third parties without consent, except where required by law. Either party may sign a separate NDA before discussions begin.

5. Intellectual property

Deliverables created specifically for a client engagement are assigned to the client upon full payment, except for: (a) our pre-existing tools, frameworks, and templates ("Background IP"), which remain ours under a perpetual, royalty-free license granted to the client for the purpose of using the deliverable; and (b) generic know-how and methodology developed during the engagement, which we remain free to reuse.

6. Acceptable use of the Site

You agree not to misuse the Site — for example, by attempting to gain unauthorized access, interfering with its operation, or using automated tools to scrape it at a rate that degrades service for others.

7. Disclaimers

The Site and any general information on it are provided "as is", without warranties of any kind, express or implied. Engagement-specific deliverables are warranted only as set out in the written scope of work.

8. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim related to a service is limited to the amount paid by the client for that specific service. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or lost data, even if we have been advised of the possibility of such damages.

9. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, unless the parties agree in writing to arbitration.

10. Changes

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
